HYRALIS TERMS OF USE, PRIVACY NOTICE & PERSONAL DATA CONSENT

1. INTRODUCTION

Welcome to HYRALIS, a software-as-a-service (SaaS) recruitment and talent management platform owned and operated by:

In this Agreement:

  1. "DOCTEVO", "we", "our", or "us" means DOCTEVO SDN BHD (1354562-P).
  2. "HYRALIS" means the software platform, website, databases, cloud infrastructure, mobile applications, APIs, artificial intelligence features, and related services operated by DOCTEVO.
  3. "User", "you", or "your" means any individual, candidate, employer, recruiter, administrator, organization, company, or other person using HYRALIS.
  4. "Personal Data" means any information relating to an identified or identifiable individual.

By creating an account, accessing, browsing, or using HYRALIS, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

If you do not agree, you must not access or use HYRALIS.

2. PURPOSE OF HYRALIS

HYRALIS is designed to facilitate:

  1. Recruitment management;
  2. Talent acquisition;
  3. Applicant tracking;
  4. Resume management;
  5. Candidate sourcing;
  6. Candidate evaluation;
  7. Interview management;
  8. Workforce planning;
  9. Talent databases; and
  10. Related employment and recruitment activities.

HYRALIS is a technology platform only.

DOCTEVO is not:

  1. An employer;
  2. A recruitment agency;
  3. An employment agency;
  4. A staffing provider;
  5. A human resource consultant; or
  6. A party to any employment contract.

All recruitment, hiring, promotion, compensation, disciplinary, and employment decisions remain solely the responsibility of the employer or organization using HYRALIS.

3. ELIGIBILITY

You represent and warrant that:

  1. You are at least eighteen (18) years old;
  2. You possess legal capacity to enter into binding agreements;
  3. All information provided is accurate and truthful;
  4. Your use of HYRALIS complies with applicable laws.

If registering on behalf of a company or organization, you represent that you are authorized to bind that entity to this Agreement.

4. ACCOUNT REGISTRATION AND SECURITY

You are responsible for:

  1. Maintaining the confidentiality of your account credentials;
  2. Managing access to your account;
  3. Updating information when necessary;
  4. Activities performed under your account.

You must immediately notify DOCTEVO of any unauthorized access or suspected security breach.

Accounts created on behalf of an organization belong to that organization and not the individual employee who created the account.

5. USER CONTENT

Users may upload, store, process, submit, import, or transmit information including:

  1. Resumes;
  2. Curriculum Vitae (CVs);
  3. Candidate profiles;
  4. Employment records;
  5. Educational qualifications;
  6. Professional certifications;
  7. References;
  8. Contact information;
  9. Interview notes; and
  10. Other recruitment-related information.

Users retain ownership of their submitted information.

However, Users grant DOCTEVO a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, organize, analyze, transmit, backup, and manage such information solely as necessary to operate HYRALIS.

6. PERSONAL DATA CONSENT

By using HYRALIS, you expressly consent to DOCTEVO collecting, storing, processing, retrieving, organizing, analyzing, displaying, transmitting, and managing your Personal Data for purposes including:

  1. Account management;
  2. Recruitment activities;
  3. Candidate management;
  4. Talent acquisition;
  5. System administration;
  6. Security monitoring;
  7. Service improvements;
  8. Customer support;
  9. Legal compliance; and
  10. Operation of HYRALIS.

This includes Personal Data provided directly by you and Personal Data uploaded by authorized employers, recruiters, or administrators.

7. RESUME AND CLOUD STORAGE CONSENT

By uploading a resume, CV, profile, or recruitment-related information, you expressly acknowledge and agree that:

  1. The information is voluntarily provided.
  2. The information may be stored electronically.
  3. The information may be retained in cloud-based infrastructure utilized by DOCTEVO.
  4. Backup and disaster recovery copies may be maintained.
  5. The information may be processed to provide HYRALIS services.
  6. The storage and processing of information are necessary for operation of the platform.

You expressly consent to such storage and processing.

8. THIRD-PARTY DATA SUBMISSIONS

Where a User uploads information relating to another individual, that User represents and warrants that:

  1. All necessary consents have been obtained;
  2. All required notices have been provided;
  3. The collection of such information was lawful;
  4. The User is authorized to upload and process the information.

DOCTEVO is entitled to rely on these representations and has no obligation to independently verify such authorization or consent.

Any liability arising from unauthorized submission of Personal Data shall remain solely with the User who submitted the information.

9. PRIVACY COMMITMENT

DOCTEVO is committed to protecting Personal Data and implementing reasonable technical, organizational, and administrative safeguards.

DOCTEVO does not sell Personal Data to unrelated third parties.

Personal Data may be disclosed:

  1. To authorized employers and recruiters;
  2. To cloud hosting providers;
  3. To infrastructure providers;
  4. To email and communication providers;
  5. To technical support providers;
  6. To professional advisers;
  7. To regulators and authorities where legally required;
  8. To protect legal rights or security; and
  9. As otherwise permitted by applicable law.

10. DATA RETENTION

DOCTEVO may retain Personal Data:

  1. For operational purposes;
  2. For recruitment purposes;
  3. For legal compliance;
  4. For audit purposes;
  5. For security investigations;
  6. For backup and disaster recovery; and
  7. For legitimate business purposes.

Users may request deletion of Personal Data, subject to legal, regulatory, contractual, compliance, backup, security, and operational obligations.

11. COOKIES AND ANALYTICS

HYRALIS may use:

  1. Cookies;
  2. Session technologies;
  3. Analytics tools;
  4. Authentication technologies; and
  5. Similar technologies.

These technologies may be used to:

  1. Authenticate users;
  2. Maintain sessions;
  3. Improve system functionality;
  4. Analyze platform usage;
  5. Monitor security.

Use of HYRALIS constitutes consent to such technologies.

12. ARTIFICIAL INTELLIGENCE FEATURES

HYRALIS may utilize:

  1. Artificial intelligence;
  2. Machine learning;
  3. Automated recommendations;
  4. Candidate matching;
  5. Resume analysis;
  6. Screening tools;
  7. Scoring systems; and
  8. Automated insights.

Users acknowledge that:

  1. AI-generated outputs are provided for informational purposes only;
  2. AI outputs may contain inaccuracies;
  3. AI outputs should not be relied upon as the sole basis for decision-making.

All hiring and employment decisions remain solely the responsibility of the employer.

DOCTEVO makes no warranty regarding the accuracy, completeness, legality, fairness, or suitability of AI-generated outputs.

13. DATA ACCURACY DISCLAIMER

DOCTEVO does not verify or guarantee the accuracy, completeness, legality, authenticity, reliability, or validity of:

  1. Resumes;
  2. Qualifications;
  3. Certifications;
  4. References;
  5. Employment histories;
  6. Candidate profiles; or
  7. User-submitted information.

Users rely on such information entirely at their own risk.

14. ACCEPTABLE USE

Users shall not:

  1. Upload false information;
  2. Upload unlawful content;
  3. Upload malicious code;
  4. Attempt unauthorized access;
  5. Interfere with system security;
  6. Harvest personal data;
  7. Infringe intellectual property rights;
  8. Misrepresent identity;
  9. Use HYRALIS for unlawful activities.

Violations may result in suspension or termination.

15. EMPLOYER RESPONSIBILITIES

Employers and recruiters agree to:

  1. Process candidate information lawfully;
  2. Protect candidate confidentiality;
  3. Comply with applicable data protection laws;
  4. Use candidate data solely for legitimate recruitment purposes.

DOCTEVO shall not be responsible for misuse of candidate information by employers, recruiters, administrators, or other users.

16. AUDIT LOGS AND MONITORING

DOCTEVO may maintain records of:

  1. User logins;
  2. Account activity;
  3. Profile updates;
  4. System interactions;
  5. Security events; and
  6. Administrative actions.

Such records may be used for operational, security, legal, compliance, and audit purposes.

17. INTELLECTUAL PROPERTY

HYRALIS and all associated intellectual property, including:

  1. Software;
  2. Source code;
  3. Databases;
  4. AI models;
  5. Algorithms;
  6. User interfaces;
  7. Documentation;
  8. Logos;
  9. Branding; and
  10. Trademarks,

are owned exclusively by DOCTEVO or its licensors.

Users may not reproduce, modify, reverse engineer, distribute, or otherwise exploit HYRALIS without prior written consent.

18. FEEDBACK

Any suggestions, ideas, recommendations, comments, enhancement requests, or feedback submitted by Users may be used by DOCTEVO without restriction, attribution, or compensation.

19. NO EMPLOYMENT GUARANTEE

DOCTEVO makes no guarantee regarding:

  1. Employment opportunities;
  2. Job interviews;
  3. Job offers;
  4. Hiring decisions;
  5. Recruitment outcomes;
  6. Candidate suitability; or
  7. Employer suitability.

HYRALIS only provides software tools to facilitate recruitment activities.

20. SERVICE AVAILABILITY

HYRALIS is provided on an "as available" basis.

DOCTEVO does not guarantee uninterrupted availability.

Service interruptions may result from:

  1. Maintenance;
  2. Upgrades;
  3. Infrastructure failures;
  4. Cybersecurity incidents;
  5. Third-party outages;
  6. Force majeure events.

21. SECURITY DISCLAIMER

DOCTEVO implements commercially reasonable safeguards to protect information.

However:

  1. No internet transmission is completely secure;
  2. No cloud environment is completely secure;
  3. No security system can guarantee absolute protection.

Users acknowledge and accept these risks.

22. FEES AND SUBSCRIPTIONS

Where applicable:

  1. Subscription fees must be paid in accordance with applicable plans.
  2. Fees are non-refundable unless required by law or otherwise agreed by DOCTEVO.
  3. Failure to pay fees may result in suspension or termination of services.
  4. DOCTEVO may revise fees upon reasonable notice.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by law, DOCTEVO, its directors, officers, employees, shareholders, affiliates, contractors, licensors, and representatives shall not be liable for:

  1. Indirect losses;
  2. Consequential damages;
  3. Loss of profits;
  4. Loss of revenue;
  5. Loss of business opportunities;
  6. Loss of employment opportunities;
  7. Data loss;
  8. Reputational damage;
  9. Hiring decisions;
  10. Employment disputes; or
  11. User conduct.

DOCTEVO's total aggregate liability shall not exceed the subscription fees paid by the User during the twelve (12) months immediately preceding the claim.

Nothing in this Agreement excludes liability that cannot legally be excluded by law.

24. INDEMNITY

Users agree to indemnify and hold harmless DOCTEVO from claims, losses, damages, liabilities, penalties, costs, and legal expenses arising from:

  1. User content;
  2. Uploaded resumes;
  3. Uploaded candidate information;
  4. Violations of this Agreement;
  5. Violations of law;
  6. Violations of third-party rights.

25. FORCE MAJEURE

DOCTEVO shall not be liable for delays, interruptions, or failures caused by events beyond its reasonable control, including:

  1. Natural disasters;
  2. Internet outages;
  3. Cyberattacks;
  4. Telecommunications failures;
  5. Government actions;
  6. Power failures;
  7. Labor disputes; and
  8. Other force majeure events.

26. SUSPENSION AND TERMINATION

DOCTEVO may suspend or terminate accounts immediately where:

  1. This Agreement is breached;
  2. Fraudulent activity is suspected;
  3. Security risks arise;
  4. Required by law; or
  5. Necessary to protect HYRALIS, DOCTEVO, or other users.

27. ELECTRONIC COMMUNICATIONS

Users consent to receiving notices, updates, invoices, service announcements, legal notices, and communications electronically through email, HYRALIS, or other electronic means.

28. ASSIGNMENT

Users may not transfer or assign their rights under this Agreement without DOCTEVO's prior written consent.

DOCTEVO may assign this Agreement in connection with a merger, acquisition, restructuring, or sale of business assets.

29. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning HYRALIS and supersedes all prior discussions, communications, and understandings relating to the subject matter.

30. SURVIVAL

Sections relating to privacy, confidentiality, intellectual property, limitation of liability, indemnity, dispute resolution, payment obligations, and any provisions intended to survive termination shall remain in effect after termination.

31. AMENDMENTS

DOCTEVO may amend this Agreement at any time.

Revised versions become effective upon publication within HYRALIS or on the HYRALIS website.

Continued use of HYRALIS constitutes acceptance of any revisions.

32. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by the laws of Malaysia.

Any dispute arising out of or relating to HYRALIS shall be subject to the exclusive jurisdiction of the courts of Malaysia.
